Terms of Service

These Terms govern your access to TranscriptLayer, including its website, accounts, API, dashboard, credits, and support.

Agreement and provider

TranscriptLayer is provided by Wraxle LLC, 3525 Del Mar Heights Rd, Unit 818, San Diego, CA 92130, USA. By creating an account, purchasing a plan, or using the service, you agree to these Terms and the Acceptable Use Policy. If you use TranscriptLayer for an organization, you represent that you can bind that organization.

You must be at least 18 years old to hold an account.

The service

TranscriptLayer retrieves a caption track that you select from a supported source and returns it in supported data and subtitle formats. YouTube is the first supported source. The service may add or remove source adapters and formats over time.

TranscriptLayer does not silently substitute another language or caption kind. It does not grant you rights to source content, and it is not affiliated with or endorsed by YouTube or another source platform.

Accounts and security

Keep your account, API keys, and webhook secrets secure. You are responsible for activity under your account until you notify us of suspected unauthorized access. Do not sell, transfer, share, or publicly expose an account, key, secret, or credit balance.

Plans, renewal, and cancellation

Prices are in US dollars. The monthly plan costs $5 per billing period and grants 1,000 credits. The annual plan costs $48 upfront and grants 1,000 credits in each of its 12 monthly periods. During a monthly credit period, active monthly-plan subscribers may buy 1,000-credit top-ups for $2. Active annual-plan subscribers may buy 1,000-credit top-ups for $1.50. The $1.50 price is not an annual credit grant.

Monthly and annual plans renew automatically until cancelled. Checkout shows the price, billing frequency, credit grant, and renewal terms before purchase. You may cancel online. Cancellation stops the next renewal, not the current paid term, and scheduled grants continue through that term.

Stripe Managed Payments, through Sold through Link, LLC, acts as merchant of record for beta purchases. Stripe or Link handles payment collection, transaction taxes, payment methods, and transaction documents under its terms and privacy policy.

Credits, access, and refunds

A new account receives 100 free test credits without a payment method. One successful selected-track acquisition costs one credit. Failed or cancelled work, polling, repeat downloads, and webhook delivery cost no credits.

A successful acquisition gives the account caption access for 24 hours from completion. Formats and repeat retrievals through the authenticated content endpoint are free during that window. A later acquisition costs one credit even if a shared cache can answer it immediately.

Free test credits do not expire while the account remains open. Each included plan grant expires at the end of its monthly credit period. Each top-up expires 30 days after purchase. The service uses credits with the earliest expiry first. Credits are account-bound, non-transferable, and have no cash value. Unused or expired credits are not refundable. The exceptions and process are in theRefund Policy.

Your use of source content

You may request and use only content you are legally permitted to process. You are responsible for applicable law, third-party rights, contracts, and source-platform terms. Lawful commercial use of transcript results is allowed, but TranscriptLayer grants no license to the underlying source content.

Availability and beta target

The service and transcript results are provided as available. We do not promise uninterrupted access, source availability, caption availability, perfect accuracy, processing time, or fitness for a particular purpose. The beta has a non-contractual 99.5% monthly operational target for the API, authentication, and cached caption delivery. It is not an SLA, warranty, refund right, or service-credit program. See the Service Level Policy.

Suspension and account closure

We may block a request, limit service, suspend an account, or close an account for misuse, a legal requirement, security risk, nonpayment, a payment dispute, or a material breach of these Terms. A filed payment dispute closes the account immediately, revokes sessions and API keys, cancels pending work, and blocks purchases and new requests. Reopening requires manual review after the dispute is withdrawn or resolved in Wraxle LLC's favor.

We close an account after 12 consecutive months without a successful sign-in, authenticated API request, purchase, or transcript-processing activity. We send warnings 30 days and 7 days before that closure. Qualifying activity resets the period. Closure revokes sessions, keys, and webhooks, cancels pending work, and forfeits remaining free and paid credits without a cash refund.

Ownership and feedback

Wraxle LLC and its licensors retain their rights in the hosted service, site, and branding. Separate client libraries may be distributed under their stated open-source licenses. Those licenses do not grant rights in the hosted service. You retain rights in your own software and feedback remains voluntary.

Disclaimers

To the extent allowed by law, TranscriptLayer is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. Mandatory rights that cannot be waived still apply.

Limits on liability

To the extent allowed by law, Wraxle LLC is not liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages. Wraxle LLC's total liability arising from TranscriptLayer will not exceed the fees you paid for the service during the 12 months before the event giving rise to the claim. These limits do not apply where the law does not permit them.

Governing law and courts

California law governs these Terms, without regard to conflict-of-law rules, where that choice is enforceable. State and federal courts in San Diego County, California have exclusive jurisdiction where permitted. These Terms do not require arbitration or waive participation in a class action. Mandatory rights in your location override conflicting terms.

Changes to these Terms

We may update these Terms with reasonable notice. We will give advance notice of a material adverse change unless an urgent legal, abuse, security, or operational need makes advance notice impractical. Continued use after the change takes effect means you accept the updated Terms.
